Company Profile and Business Description for ProAssurance

ProAssurance Corporation (ProAssurance), incorporated on October 20, 2000, is a holding company for property and casualty insurance companies. The Company provides professional liability insurance for healthcare professionals and facilities, professional liability insurance for attorneys, liability insurance for medical technology and life sciences risks, and workers' compensation insurance. The Company operates through four segments: Specialty property and casualty, Workers' compensation, Lloyd's Syndicate 1729 (Syndicate 1729) and Corporate. The Specialty property and casualty segment includes the Company's professional liability business, and medical technology and life sciences business. The Workers' compensation segment includes its workers' compensation business, which it provides for employers, groups and associations. Lloyd's syndicate segment includes business of Syndicate 1729, which underwrites risks over a range of property and casualty insurance and reinsurance lines in both the United States and international markets. The Corporate segment includes the Company's investment operations managed at the corporate level, except investment assets solely allocated to Syndicate 1729 operations, and non-premium revenues generated outside of its insurance entities.

Specialty Property and Casualty Segment

The Company's professional liability business is focused on providing professional liability insurance to healthcare providers. It targets a spectrum of the healthcare professional liability (HCPL) market, covering multiple categories of healthcare professionals and healthcare entities, including hospitals and other healthcare facilities. The Company also offers professional liability insurance on an excess and surplus lines basis, and offers alternative risk and self-insurance products on a custom basis.

The Company markets its insurance products through direct sales force and through its agents, as well as direct mailings, and through advertising in industry-related publications. The Company is also involved in professional societies and related organizations, and supports legislation. It maintains regional underwriting centers, which permits the Company to provide customer service to both small and large accounts. The Company maintains claim processing centers where its internal claims personnel investigate and monitor the processing of its professional liability claims. It also provides professional liability coverage to attorneys.

The Company's Medical Technology and Life Sciences Insurance business offers products-completed operations liability, as well as errors and omissions liability insurance policies for medical technology and life sciences companies that manufacture or distribute products that are regulated by the United States Food and Drug Administration. Products insured include imaging and non-invasive diagnostic medical devices, orthopedic implants, pharmaceuticals, clinical lab instruments, medical instruments, dental products, and animal pharmaceuticals and medical devices. The Company also provides coverage for clinical trials and contract manufacturers. Its medical technology liability claims are managed and primarily processed in Chantilly, Virginia.

Workers' Compensation Segment

The Company's Workers' Compensation Segment offers workers' compensation products in the Mid-Atlantic, Southeast, Midwest, and Gulf South regions of the continental United States. Its workers' compensation business consists of two business activities: Traditional workers' compensation insurance coverages, which are provided to employers and the types of policies offered include guaranteed cost policies, policyholder dividend policies, retrospectively-rated policies and deductible policies, and Alternative market workers' compensation solutions, which are provided to individual companies, groups and associations. As of December 31, 2016, of the Company's totaled alternative market premiums written, approximately 90% was ceded to segregated portfolio cells (SPCs) operated through Eastern Re, LTD, S.P.C. (Eastern Re), its subsidiary domiciled in the Cayman Islands. Each SPC is owned, fully or in part, by an agency, group or association (cell participants).

Lloyd's Syndicate Segment

The Company is a capital provider to Syndicate 1729, which is engaged in writing business. Syndicate 1729 covers a range of property and casualty insurance and reinsurance lines, primarily for risks within the United States.
