Company Profile and Business Description for Cooper Tire and Rubber

Cooper Tire & Rubber Company, incorporated on March 26, 1930, is a manufacturer and marketer of replacement tires. The Company specializes in the design, manufacture, marketing and sales of passenger car, light truck, medium truck, motorcycle, and racing tires. The Company operates through four segments: North America, Latin America, Europe, and Asia. The North America segment comprises its operations in the United States and Canada. The Latin America segment comprises its operations in Mexico, Central America, and South America. As of December 31, 2016, the Company operated nine manufacturing facilities and 20 distribution centers in 10 countries.

Americas Tire Operations Segment

The Americas Tire Operations segment is the aggregation of the Company's North America and Latin America segments. The Americas Tire Operations segment manufactures and markets passenger car and light truck tires, for sale in the United States replacement markets. It also distributes tires for racing, medium trucks and motorcycles. Its distribution channels and customers include independent tire dealers, wholesale distributors, regional and national retail tire chains, and retail chains that sell tires as well as other automotive products. It also sells tires to original equipment manufacturers (OEMs). It does not sell its products directly to end users, except through three Company-owned retail stores. It has manufacturing operation in Mexico, which supplies passenger car tires to the United States, Mexican, Central American and South American markets.

International Tire Operations Segment

The International Tire Operations segment combines the operation of Asia and Europe segments. The European segment has operations in the United Kingdom and the Republic of Serbia (Serbia). Its United Kingdom entity manufactures and markets passenger car, light truck, motorcycle and racing tires and tire retread material. The Serbian entity manufactures light vehicle tires for the European markets and for export. The Asian operations are located in the People's Republic of China. In the People's Republic of China, it manufactures light vehicle tires both for the Chinese domestic market and for export to markets outside the People's Republic of China. The tires manufactured in this segment are sold in the replacement market, with an increasing portion also sold to OEMs. It has also established sales, marketing, distribution and research and development capabilities to support the Company's objectives.

The Company competes with Bridgestone Corporation, Goodyear Tire & Rubber Company and Groupe Michelin.
