Company Profile and Business Description for Carnival

Carnival Corporation, incorporated on November 21, 1974, is a leisure travel company. The Company is a cruise company of global cruise guests, and a provider of vacations to all cruise destinations throughout the world. The Company operates in four segments: North America, EAA, Cruise Support and, Tour and Other. As of November 30, 2016, the Company operated over 100 cruise ships within a portfolio of global, regional and national cruise brands that sell cruise products, services and vacation experiences in all the vacation geographic areas. The Company's North America segment includes Carnival Cruise Line, Holland America Line, Princess Cruises (Princess) and Seabourn. The Company's EAA segment includes AIDA Cruises (AIDA), Costa Cruises (Costa), Cunard, P&O Cruises (Australia), P&O Cruises (the United Kingdom) and ship operations of Fathom. The Company's Cruise Support segment represents certain of its port and related facilities and other services that are provided for the benefit of its cruise brands and Fathom's selling, general and administrative expenses. The Company's Tour and Other segment represents the hotel and transportation operations of Holland America Princess Alaska Tours and three ships that the Company bareboat charter to unaffiliated entities.

The Company's Holland America Princess Alaska Tours is a tour company that owns and operates hotels, lodges, glass-domed railcars and motorcoaches. This tour Company and cruise ships, which the Company charters-out under long-term leases, consists its Tour and Other segment. The Company's geographic areas include North America, Germany, Italy, France, Spain, Rest of Continental Europe, the United Kingdom, Australia, Asia and Rest of World. The Company's ships sail to all cruise destinations, including Caribbean, Mediterranean, Europe without Mediterranean, Australia and New Zealand, Asia, Alaska and Other.

As of November 30, 2016, Carnival Cruise Line, a contemporary cruising operated 25 ships, which were designed to provide fun and exceptional vacation experiences that appeal to a range of consumers. As of November 30, 2016, the Carnival Cruise Line offered cruises generally from 3 to 8 days with almost all of its ships departing from 16 of the United States home ports located along the East, Gulf and West coasts, Puerto Rico and Hawaii. Carnival Cruise Line is also a provider of year-round cruises in The Bahamas, the Caribbean and Mexico and also operates seasonal cruises in Canada, Alaska, Hawaii and Europe. As of November 30, 2016, Carnival Cruise Line deployed two ships in Australia, one on a year-round basis and one seasonally-based.

Princess operates a cruise line. As of November 30, 2016, Princess Cruises operated a fleet of 17 ships visiting over 350 ports across the globe. Princess sails from Alaska to Asia and Australia, the Caribbean and Mexico, Europe, the Panama Canal, South America and more. The line offers cruises ranging from 3 to 20 days with longer exotic sailings from 25 to 111 days, including two world cruises. Its Princess Cruises Come Back New program features various products and services, such as Personal Choice Dining; Onboard entertainment, and Interactive onboard activities.

The Company's Holland America Line is engaged in providing cruises. As of November 30, 2016, Holland America Line operated a fleet of 14 mid-sized ships. Holland America Line's cruises range from 3 to 35 days with longer, exotic Grand Voyages from 55 to 116 days, including an annual Grand World Voyage. Holland America Line ships generally sail in Alaska, Europe, the Caribbean and Australia. The Company's Seabourn provides cruising vacations on smaller ships that is focused on personalized service and guest recognition. Seabourn's ships cruise to destinations throughout the world, including Europe, Asia, the South Pacific Islands, Australia and New Zealand, the Americas and Antarctica, with cruises generally from 7 to 14 days, along with a number of longer voyages.

The Company's Costa provides cruises and as of November 30, 2016, it operated a fleet of 15 contemporary ships. Costa operates cruise line in Italy, France, China and Spain. Its ships are deployed in the Mediterranean Sea, Northern Europe, the Caribbean, Brazil, Argentina, the Arabian Gulf and the Indian Ocean. The line offers a range of itineraries, with cruises generally ranging from 7 to 20 days and also has longer exotic sailings from 20 to 30 days and one world cruise. The Company's AIDA is a cruise brand in the German cruise industry. As of November 30, 2016, AIDA operated 11 ships featuring a resort casual atmosphere. AIDA's ships include a range of dining options, including buffets, grills and exclusive restaurants. AIDA offers its guests cruises generally from 3 to 21 days. AIDA ships sail in the North Sea, the Baltic Sea, the Atlantic Isles, the Mediterranean Sea, the Caribbean, Southeast Asia, the Arabian Gulf, Central America and the Indian Ocean.

The Company's P&O Cruises (UK) is a cruise brand in the United Kingdom. As of November 30, 2016, P&O Cruises (UK) operated a fleet of eight ships. As of November 30, 2016, P&O Cruises (UK)'s ships visited over 200 destinations across the world, with cruises generally from 7 to 17 days and a number of longer voyages. P&O Cruises (UK)'s ships generally sail to the Mediterranean Sea, Scandinavia, the Baltic Sea, New England, Canada, the Atlantic Isles, the Caribbean and the Canary Islands. The Company's Cunard operates ocean liners across the world. As of November 30, 2016, the line operated three ships, Queen Elizabeth, Queen Mary 2 and Queen Victoria. Cunard offers cruises to destinations in Northern Europe, the Mediterranean Sea, New England and Canada, as well as their transatlantic voyages on Queen Mary 2. The Company's P&O Cruises (Australia) is a cruise operator in the Australia and South Pacific region. P&O Cruises (Australia) sails to more destinations in Australia and the South Pacific than any other cruise line and offers cruises, generally from 3 to 16 days, from multiple home ports in Australia and New Zealand. P&O Cruises (Australia) offers itineraries based across various Australian events, including Melbourne Cup, Australian Open Tennis and Rugby League State of Origin.

The Company competes with Royal Caribbean Cruises Ltd., Norwegian Cruise Line Holdings, Ltd. and MSC Cruises.
