Company Profile and Business Description for Southern

The Southern Company (Southern Company), incorporated on November 9, 1945, is a holding company. The Company owns all of the stock of the traditional electric operating companies and the parent entities of Southern Power Company (Southern Power) and Southern Company Gas, and owns other direct and indirect subsidiaries. The Company owns all of the outstanding common stock of

Alabama Power Company (Alabama Power), Georgia Power Company (Georgia Power), Gulf Power Company (Gulf Power) and Mississippi Power Company (Mississippi Power), each of which is an operating public utility company. The primary business of the Southern Company system is electricity sales by the traditional electric operating companies and Southern Power and the distribution of natural gas by Southern Company Gas. The Company's segments include Gas distribution operations, Gas marketing services, Wholesale gas services, Gas midstream operations and All other.

Alabama Power is engaged in the generation, transmission, distribution, and purchase of electricity and the sale of electric service within the State of Alabama. As of December 31, 2016, Alabama Power offered its services in approximately 400 cities and towns (including Anniston, Birmingham, Gadsden, Mobile, Montgomery, and Tuscaloosa), as well as in rural areas, and at wholesale to 14 municipally-owned electric distribution systems, 11 of which are served indirectly through sales to Asia, the Middle East and Africa (AMEA), and two rural distributing cooperative associations. Georgia Power is engaged in the generation, transmission, distribution, and purchase of electricity and the sale of electric service within the State of Georgia. As of December 31, 2016, Georgia Power offered its services in over 600 communities (including Athens, Atlanta, Augusta, Columbus, Macon, Rome, and Savannah), as well as in rural areas, and at wholesale to non-affiliated utilities.

As of December 31, 2016, Gulf Power was engaged in the generation, transmission, distribution, and purchase of electricity and the sale of electric service, at retail in 71 communities (including Pensacola, Panama City, and Fort Walton Beach), as well as in rural areas, and at wholesale to a non-affiliated utility. As of December 31, 2016, Mississippi Power was engaged in the generation, transmission, distribution, and purchase of electricity and the sale of electric service within 23 counties in southeastern Mississippi, at retail in 123 communities (including Biloxi, Gulfport, Hattiesburg, Laurel, Meridian, and Pascagoula), as well as in rural areas, and at wholesale to one municipality, six rural electric distribution cooperative associations, and one generating and transmitting cooperative.

Gas distribution operations

The Gas distribution operations segment includes natural gas local distribution utilities that construct, manage and maintain intrastate natural gas pipelines and gas distribution facilities in seven states. As of December 31, 2016, the segment operated, constructed and maintained 81,600 miles of natural gas pipelines and 14 storage facilities, with total capacity of 158 billion cubic feet (Bcf), to provide natural gas to residential, commercial, and industrial customers. The Gas distribution operations segment has rates of return that are regulated by each individual state in return for franchises.

Gas marketing services

The Gas marketing services segment consists of Southstar Energy Services, LLC (SouthStar) and Nicor Energy Services Company (doing business as Pivotal Home Solutions), and provides natural gas commodity and related services to customers markets that provide for customer choice. As of December 31, 2016, SouthStar served approximately 643,000 natural gas commodity customers, marketed gas to residential, commercial and industrial customers, and offered energy-related products that provide natural gas price stability and utility bill management. As of December 31, 2016, Pivotal Home Solutions served approximately 1.2 million service contracts, provided a suite of home protection products and services that offers homeowners predictability regarding their energy service delivery, systems, and appliances.

Wholesale gas services

The Wholesale gas services segment consists of Sequent Energy Management, L.P. and engages in natural gas storage and gas pipeline arbitrage. The segment also provides natural gas asset management and related logistical services to the natural gas distribution utilities, as well as non-affiliate companies.

Gas midstream operations

The Gas midstream operations segment includes joint ventures in pipeline investments (including approximately 50% ownership interest in Southern Natural Gas Company, L.L.C. (SNG) and two pipeline construction projects), as well as approximately 50% joint ownership in a pipeline project and a natural gas storage facilities that enable the provision of sources of natural gas supplies to the customers of Southern Company Gas. The Gas midstream operations consist primarily of gas pipeline investments, with storage and fuels. Gas pipeline investments consist of the SNG interest, Horizon Pipeline Company, LLC (Horizon Pipeline), Atlantic Coast Pipeline, LLC (Atlantic Coast Pipeline), PennEast Pipeline Company, LLC (PennEast Pipeline), Dalton Pipeline and Magnolia Pipeline.

Horizon Pipeline operates a 70-mile natural gas pipeline from Joliet, Illinois to near the Wisconsin/Illinois border. The Company holds approximately 5% ownership interest in an interstate pipeline company formed to develop and operate a 594-mile natural gas pipeline in North Carolina, Virginia and West Virginia.
